1. Agreement
These Terms of Use ("Terms") form a binding agreement between you and RestoOS regarding access to and use of our website, restaurant platform, partner portal, and related services (the "Service"). By creating an account, signing in, or using the Service, you agree to these Terms and our Privacy Policy.
If you use the Service on behalf of a restaurant or organization, you represent that you have authority to bind that entity to these Terms.
2. The Service
RestoOS provides cloud-based tools for restaurants, including but not limited to:
- Point-of-sale ordering for dine-in, takeout, and delivery
- Kitchen display and order routing
- Menu, category, and inventory management
- Expense tracking, analytics, and exportable reports
- Staff accounts with role-based permissions
- WhatsApp ordering and automated order handling (plan dependent)
- Mobile Money payment prompts and verification (plan dependent)
- Delivery assignment and rider tracking (plan dependent)
- Subscription billing and receipt generation
- Referral partner tracking and commission management
Features available to your account depend on your subscription plan and any feature overrides applied by RestoOS administrators.
3. Accounts and eligibility
You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your account. Notify us immediately if you suspect unauthorized access.
Restaurant administrators are responsible for inviting staff, assigning appropriate roles, and removing access when employment ends. Partner accounts are personal to the approved partner and must not be shared.
4. Subscriptions, billing, and trials
Paid plans, setup fees, and billing intervals are described on our pricing page and in your billing portal. Amounts are charged in Ghana cedis (GHS) unless stated otherwise. Payments are processed through Paystack or other authorized payment providers.
Subscriptions renew automatically according to the selected billing cycle unless cancelled in accordance with platform procedures. Trial periods, if offered, convert to paid subscriptions unless cancelled before the trial ends. Failure to pay may result in suspension of Service access.
Refunds are handled according to our published billing policy and applicable consumer protection law. Setup fees and subscription charges may be non-refundable once onboarding or the billing period has commenced, except where required by law.
5. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, or abusive purposes
- Interfere with or disrupt the Service, other users, or connected systems
- Attempt to access data belonging to other restaurants or partners
- Reverse engineer, scrape, or copy the Service except as permitted by law
- Upload malware or content that infringes third-party rights
- Misrepresent your identity, referral attribution, or payment status
- Use the Service to process orders you are not authorized to fulfil
We may suspend or terminate accounts that violate these Terms or pose a security or legal risk.
6. Restaurant content and customer data
Restaurants retain ownership of their menu content, branding, and customer order data entered into the Service. You grant RestoOS a limited licence to host, process, and display that content solely to operate the Service.
Restaurants are responsible for obtaining any consents required from customers — including for WhatsApp communications, delivery, and payment collection — and for complying with applicable food safety, consumer protection, and tax regulations.
7. Referral partner program
Partners participate under the terms described on our Partners page and in the partner portal. Commission rates, payout windows, and eligibility rules may be updated by RestoOS with reasonable notice.
Partners must provide accurate payout details, comply with anti-fraud requirements, and must not misrepresent RestoOS pricing or capabilities. RestoOS may withhold or reverse commissions resulting from invalid referrals, chargebacks, or policy violations.
8. Third-party services
The Service integrates with third-party providers such as Paystack, WhatsApp messaging platforms, and cloud infrastructure vendors. Your use of those services may be subject to their separate terms. RestoOS is not responsible for third-party outages beyond our reasonable control.
9. Intellectual property
RestoOS, including its software, design, documentation, and trademarks, is owned by RestoOS or its licensors. These Terms do not grant you ownership of our intellectual property except for the limited right to use the Service during an active subscription or approved partner relationship.
10. Availability and support
We aim to keep the Service available and secure but do not guarantee uninterrupted access. Maintenance, upgrades, network issues, or third-party failures may cause temporary downtime. Support is provided through the channels published on our website and in the Service.
11. Disclaimer of warranties
The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. RestoOS disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet every business requirement or be error-free.
12. Limitation of liability
To the maximum extent permitted by applicable law, RestoOS and its officers, employees, and suppliers shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of the Service.
Our total liability for any claim relating to the Service shall not exceed the fees paid by you to RestoOS in the twelve (12) months preceding the event giving rise to the claim, except where liability cannot be limited under Ghanaian law.
13. Indemnity
You agree to indemnify and hold harmless RestoOS from claims, damages, and expenses arising from your use of the Service, your restaurant operations, your breach of these Terms, or your violation of any law or third-party rights.
14. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, legal requirements, or extended inactivity. Provisions that by nature should survive termination — including payment obligations, intellectual property, disclaimers, and limitations of liability — will continue to apply.
15. Governing law
These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles. Disputes shall be subject to the exclusive jurisdiction of the courts of Ghana, unless mandatory consumer protection rules require otherwise.
16. Changes
We may modify these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Material changes may also be communicated through the Service. Continued use after changes take effect constitutes acceptance.
